Job Responsibilities
Legal:
- Provide legal advice and guidance on business operations, contracts, and compliance matters.
- Draft, review, and negotiate various legal documents, including agreements, NDAs, and contracts.
- Coordinate with external legal counsel and relevant authorities when necessary.
- Monitor legal risks and recommend appropriate risk mitigation strategies.
- Ensure compliance with Malaysian laws, the Companies Act 2016, and regulatory requirements.
Company Secretarial:
- Serve as the Company Secretary per the Companies Act 2016 and Bursa Malaysia requirements.
- Coordinate Board and Committee meetings, including agendas, board packs, and minutes.
- Maintain statutory records and ensure timely submission of filings to regulatory bodies.
- Provide advice on corporate governance matters to the Board and senior management.
- Ensure all AGM/EGM and shareholder communications are accurately prepared and submitted.
- Stay updated on changes in corporate governance and regulatory frameworks relevant to listed companies.
Job Requirements
Qualifications:
Bachelor’s Degree in Law (LLB) or equivalent qualification.
Licensed Company Secretary registered with the Companies Commission of Malaysia (SSM).
Minimum 5 years of relevant experience in legal and corporate secretarial roles, preferably in a Bursa Malaysia-listed company.
Prior experience as a Junior Accountant in a law firm or handling legal documentation will be an added advantage.
Strong understanding of Malaysian legal frameworks, Bursa Malaysia listing requirements, and regulatory reporting.
Excellent written and verbal communication skills in both English and Bahasa Malaysia.
High level of integrity, discretion, and professionalism in handling confidential matters.
Strong organizational, analytical, and time management skills.
Ability to work independently and collaboratively across departments.
